1. PRICES QUOTED-<\/strong><\/h4>

All prices quoted are exclusive 6% SST as levied by the Government of Malaysia, freight, withholding tax and any other taxes. Any additional charges incurred in the course of providing and making available the goods and services, will be charged and invoiced separately.No<\/strong>.\u00a0Payment Milestone % Payment<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

2. LATE INTEREST CHARGE-<\/strong><\/h4>

Interest charge applies for all late payments and invoices overdue. Interest rate will be fixed at 1% per annum above the prime rate of OCBC Bank.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

3. CONSULTATION \u2013<\/strong><\/h4>

All consultation work is performed in Singapore only. Any additional cost incurred for traveling and accommodation will be billed and invoiced to the Client separately. Request for travel has to be mutually agreed upon and may invoice additional fees, in addition to the items stated above.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

4. MAINTENANCE –<\/strong><\/h4>

Maintenance is inclusive of technical support, legislative updates and software enhancements. Operating hours for Technical Support are 0900hrs to 1800hrs from Mondays to Fridays, excluding public holidays. Additional surcharge(s) will be imposed if services have to be carried out after office hours.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

5. CONTRACTUAL ISSUES-<\/strong><\/h4>

In case of any contractual dispute(s), both AGHRM MALAYSIA SDN. BHD. and the Client shall agree to resolve any legal disputes pertaining to this contract agreement in the Court of Malaysia only. The Client agrees to indemnify AGHRM MALAYSIA SDN. BHD. of any copyright disputes for the scope of works needed in each project.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

6. NON-DISCLOSURE AND CONFIDENTIALITY-<\/strong><\/h4>

AGHRM MALAYSIA SDN. BHD. will not divulge, either in writing or orally, any information obtained from or through the Client to third parties, other than as required under any law or regulations or by Order of Court, without prior written consent of the Client.<\/p>

  • The Client agrees to allow AGHRM MALAYSIA SDN. BHD. to use their approved logo and name on the AG Net website in the \u201cOur Clients\u201d section as well as in AGHRM MALAYSIA SDN. BHD. sales and marketing collateral.<\/li>
  • If the Client needs to use our Cloud Services, the Client shall permit storage of personal data of employees in secure servers located in Singapore.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    7. ENTIRE TERMS AND CONDITIONS AGREEMENT-<\/strong><\/h4>

    This agreement constitutes the entire agreement between the Client and AGHRM MALAYSIA Sdn. Bhd.This agreement is binding on the parties` respective Successors-In-Title and Official Assignees.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    8. GOVERNING LAWS AND AREAS OF JURISDICTION-<\/strong><\/h4>
